These Terms of Use govern Studuo and related services provided by Orbit Labs, LLC (Company, we, us, or our). Studuo provides tools for preparing scripts, displaying teleprompter text, recording, editing, and exporting content. The features available to you depend on your device, app version, region, and purchase. Our Privacy Policy explains our handling of personal information and does not itself constitute consent to optional processing.
1 Agreement and eligibility
By selecting an agreement control that references these Terms, you agree to them. If you do not agree, do not use Studuo. You must be at least 18 and have legal capacity to enter this agreement. If acting for an organization, you represent that you have authority to bind it, and references to you include that organization. Mandatory consumer protections remain applicable regardless of these Terms.
2 App license and ownership
Subject to these Terms and applicable purchase conditions, we grant you a limited, nonexclusive, nontransferable, revocable license to use Studuo on compatible devices you own or control. For Apple devices, this license is subject to the Apple Media Services Usage Rules, including permitted Family Sharing, volume purchasing, and Legacy Contact access. You may use Studuo to create content for personal or commercial purposes.
We and our licensors retain all rights in the app, software, interfaces, templates, branding, and other Company materials. Except as expressly permitted by law, you may not copy, redistribute, sell, sublicense, reverse engineer, decompile, bypass technical protections, or use the app to develop an infringing copy. Open source components remain subject to their applicable licenses.
3 Your content and limited permission to process it
You retain ownership of scripts, recordings, images, audio, and other material you create, import, or submit (User Content). You represent that you have the rights and permissions necessary to use and submit that content, including permission from recorded people and holders of intellectual property, privacy, publicity, and confidentiality rights.
You grant us a nonexclusive, worldwide, royalty free license to access, reproduce, process, adapt, transmit, and display User Content only to the extent necessary to provide features you use, process support submissions, maintain and secure those features, and fulfill your instructions. We may sublicense these rights to service providers acting for us for those purposes. For locally processed content, this permission does not authorize us to upload it or remotely access your device.
The license lasts while the relevant processing is necessary, including reasonable backup expiration and legal retention periods. It does not grant permission to use private scripts or recordings in public marketing, sell them as content, or train general purpose AI models. Any such optional use requires a separate, specific permission and must comply with applicable law and our Privacy Policy. Permission to improve the product through usage analytics does not automatically extend to its underlying private content.
4 Recording and content responsibilities
You are responsible for obtaining all notices, consents, releases, and permissions required to record, edit, publish, or share content, including under laws governing recording of conversations. Camera or microphone permission from your device owner does not establish consent from anyone else. Do not use Studuo to invade privacy, violate confidentiality, infringe rights, create unlawful impersonations, facilitate abuse, or produce or distribute illegal content.
You are responsible for checking scripts and outputs before use and deciding where and how to publish them. Filters, smoothing, background effects, automated edits, transcriptions, and AI features, if offered, may alter appearance or meaning and may produce inaccurate or incomplete results. Studuo does not provide legal, medical, financial, or other professional advice or guarantee audience growth, earnings, recording quality, uninterrupted operation, or compatibility with every device or third party platform.
5 Device storage and backups
Maintain independent backups of important content and verify exports. Local content may be lost through device failure, insufficient storage, app removal, device or operating system changes, or user actions. Unless a feature expressly offers backup, we do not undertake to back up or recover local content. Operating system backup or photo library services may handle copies according to your device settings and their own terms. These provisions do not exclude responsibility that applicable law does not allow us to exclude.
6 Acceptable use and security
Do not interfere with app operation, probe systems without authorization, introduce malware, circumvent payment or access controls, misuse other users’ information, or use automated access that harms our services. You are responsible for securing your devices and any credentials. If accounts are introduced, provide accurate information and notify us of suspected unauthorized access. We may investigate suspected violations and take proportionate protective action as permitted by law.
7 Subscriptions purchases and trials
Prices, billing periods, features, and any trial conditions are disclosed before purchase. Subscriptions renew automatically unless canceled under the applicable storefront rules. For Apple subscriptions, payment is charged to your Apple Account, and renewal charges and cancellation timing follow the terms shown by Apple at purchase. To avoid renewal, cancel before the deadline shown by Apple, generally at least 24 hours before the current period ends. Manage or cancel subscriptions in your Apple Account subscription settings. Deleting Studuo does not cancel a subscription.
A trial, if offered, converts to the disclosed paid subscription unless you cancel before its stated deadline. Trial eligibility, unused trial time, introductory offers, billing, and refunds are governed by the applicable purchase disclosures and storefront rules. Fees are nonrefundable except where required by law or allowed by the storefront. Request App Store refunds through Apple. We do not limit statutory cancellation or refund rights.
Price changes will follow applicable notice and consent requirements and the storefront’s processes. We may change subscription offerings prospectively. We will honor applicable rights relating to paid periods, discontinued features, and refunds. No particular trial length or permanent feature entitlement is promised unless stated in the offer.
8 Third party services
Apple, operating systems, analytics providers, AI providers if enabled, and destinations you choose for sharing may provide separate services under their own terms. We are not responsible for independently operated third party services to the extent permitted by law. This does not relieve us of obligations for our own provider selection, disclosures, security, or processing. An export to a social platform is your instruction to share and does not establish an affiliation with that platform.
9 Updates suspension and termination
We may provide updates and modify or discontinue features for technical, security, legal, or business reasons, with notice and remedies where required by law. Compatibility or support for older versions may change. We may suspend or terminate access for material violations, security threats, nonpayment, or legal requirements. Where practical and appropriate, we will give notice and an opportunity to resolve the issue. Urgent action may occur without advance notice.
You may stop using the app at any time. Cancel subscriptions separately. After termination, the app license ends, but ownership provisions, accrued payment obligations, liability provisions, indemnity, dispute provisions, and other provisions intended to survive remain effective. Termination does not expand our rights to User Content.
10 Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STUDUO IS PROVIDED AS IS AND AS AVAILABLE. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT ERROR FREE OR UNINTERRUPTED OPERATION, COMPLETE SECURITY, OR THAT EVERY RECORDING, SAVE, EXPORT, OR AUTOMATED OUTPUT WILL SUCCEED. ANY EXPRESS WARRANTIES WE MAKE AND RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED REMAIN IN EFFECT.
11 Limitations of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBIT LABS, LLC AND ITS AFFILIATES, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM THESE TERMS OR STUDUO, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS OR STUDUO WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID FOR STUDUO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where exclusion is prohibited, death or personal injury where exclusion is prohibited, or any other liability or remedy that cannot lawfully be excluded or limited. Where a limitation is not permitted, it applies only to the extent lawful. Mandatory consumer rights prevail.
12 Responsibility for third party claims
To the extent permitted by law, you will indemnify and hold harmless the Company and its members, managers, employees, and contractors from third party claims, liabilities, damages, and reasonable legal costs arising from your unlawful use of Studuo, your material breach of these Terms, or User Content you submit that infringes another person’s rights. This obligation does not apply to losses caused by our own unlawful conduct, negligence, or breach, or to the extent it is prohibited for consumers.
We will notify you reasonably promptly of an indemnified claim and permit you to control its defense with competent counsel, subject to our right to participate at our own expense. You may not settle a claim in a manner that admits wrongdoing by us, imposes obligations on us, or fails to release us without our written consent. If you fail to defend an indemnified claim, we may defend it and seek reasonable recoverable costs.
13 Disputes and governing law
Before filing a claim, either party may send a written description of the dispute and requested resolution to the other party. We invite you to contact [LEGAL EMAIL] so we can attempt a resolution for 30 days. This process does not prevent urgent relief, delay a filing needed to preserve a limitation period, or restrict reporting to regulators.
California law governs these Terms, excluding its conflict of laws rules, except that mandatory protections under the law applicable to you remain in effect. Subject to those protections, the state and federal courts in San Francisco County, California have exclusive jurisdiction, and both parties consent to that jurisdiction. If mandatory law permits you to bring a consumer claim in your local courts or apply local law, that right is preserved. These Terms do not impose mandatory arbitration or waive class actions.
14 Changes to these Terms
We may revise these Terms and will provide notice of material changes through the app or another appropriate channel. Changes apply prospectively from the stated effective date. We will obtain renewed agreement when required and will not treat continued use as consent to processing that legally requires a separate affirmative choice. If you do not accept a material change, stop using the affected service and exercise any applicable cancellation or refund rights. Changes do not retroactively alter an existing dispute without agreement.
15 Apple specific provisions
These Terms are between you and Orbit Labs, LLC, not Apple. The Company is responsible for Studuo and its content and for maintenance and support, if any. Apple has no obligation to provide maintenance or support. If Studuo fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the app purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for Studuo, and other warranty related claims, losses, liabilities, damages, costs, or expenses are our responsibility subject to these Terms.
The Company, not Apple, is responsible for addressing claims relating to Studuo or your possession or use of it, including product liability, legal or regulatory conformity, consumer protection, and privacy claims. In the event of a third party intellectual property infringement claim relating to Studuo or your possession or use, the Company, not Apple, is responsible for investigation, defense, settlement, and discharge, subject to these Terms and applicable law.
You represent that you are not located in a country subject to a United States government embargo or designated by the United States government as a terrorist supporting country and are not on a United States government list of prohibited or restricted parties. You must comply with applicable third party agreements when using Studuo. Apple and its subsidiaries are third party beneficiaries of these Terms and may enforce them against you upon your acceptance.
16 General provisions and contact
If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent except where law permits; we may transfer them with a merger, reorganization, or sale of the relevant business, subject to applicable law and without reducing mandatory consumer protections. Events outside reasonable control excuse performance only to the extent permitted by law and do not eliminate applicable refund rights. These Terms and applicable purchase disclosures constitute the agreement about Studuo; feature specific terms expressly accepted by you govern conflicts for that feature. No provision grants rights to third parties except as expressly stated for Apple.
